Confidentiality and Privacy

Microbridge undertakes not to communicate, disclose or make available all or any part of the information and data obtained during the scope of work, to any third party. Microbridge takes all reasonable measures to preserve the integrity, data security and prevent any corruption or loss, damage or destruction of such data. Microbridge guarantees not to release the information directly or indirectly or permit others to use the information and data other than for the purpose. Microbridge is deeply committed to Client’s right to privacy and takes Client’s privacy seriously. Microbridge employees have access to Client’s data only on need to know basis.

Representations and Warranties

All services will be provided in a good and workmanlike manner. However, Client should proofread the document(s) for document content, accuracy, and quality control. Microbridge make no other representations, express or implied, with regard to services to be performed or products to be delivered, including warranties of marketability or fitness for a particular purpose. All such warranties, express or implied, are hereby disclaimed.

Conflict of Interest

Microbridge is committed to avoid conflict of interest for its Clients and does not provide services where a related matter conflict would be created.

Limitation of Liability

In no event shall Microbridge be liable to Client, any employee, agent or contractor of Client, or any third party, for any loss of profits, loss of business, or indirect, incidental, special, consequential, exemplary or punitive damages arising out of or related to any service provided by Microbridge.

Fees and Payments

Microbridge shall invoice Client for providing services and Client shall pay all such invoices by due date as agreed by parties/stated in invoices. In the event the invoices are not paid by Client within the due date, Microbridge reserves the right to impose finance charges of one and one-half percent (1.5%) per month. In the event a third party is required for collection of a debt, Microbridge will be entitled to collection, court costs, and reasonable attorney fees in the state where the placement occurred.

Collection and Delivery

The collection and delivery of the information/documents needed, will be made available by Microbridge, Inc. USA over the Internet and the work will be performed in the facility of Microbridge Solutions Pvt. Ltd., India.
